The document that follows is a License Agreement.  Why do we need such a thing?  Well, we would prefer to keep things simple, however, some of our clients, partners and licensors, have insisted upon having it.

At Got WWW, we pride ourselves on our low-key style, and on offering a quality service at a reasonable cost.  Unfortunately, without this License Agreement, our costs could increase exponentially.  The global nature of the internet means that one lawsuit from one user in a far-away jurisdiction might put us out of business. It also means that, without this agreement, we might not have protection from people who misuse the legal system, or our System. And while we have never been sued, we do not want to risk our entire company on such possibilities, however unlikely, because we like doing what we do and want to continue to be able to do it at a reasonable cost.  And so... we have to require you to read and agree to the terms of this agreement. We believe you will find it quite reasonable, but if you disagree, please click "Disagree." But, don't just stop there. Let us know. Please send us a message telling us what you find unacceptable about our license agreement. We can't agree to change anything, but we will do our best to get back to you.

This Online Agreement (the “Agreement”) is entered into by and between GOTWWW, LLC., a Michigan corporation, with offices at 5085 Curtis Rd., Suite 101, Attica, Michigan 48412 (“Got WWW”) and you (either an individual or an entity agreeing to these terms) “Customer”.

By purchasing, and/or using this System, accessing or using the service (together, the "System" or "Services"), or accessing or using any of the content available within the System, Customer agrees to be bound by the following terms of service.  Before you continue, you should read the entire document, as well at those references herein, as together they form a binding agreement between you and Got WWW regarding your use of the Services. Collectively, these Terms, Legal Notices, and the referenced Terms are referred to as the "Terms".

This Agreement is effective as of the date you click the “I Agree” button (the “Effective Date”). If you are accepting on behalf of your employer or another entity, you represent and warrant that: (i) you have full legal authority to bind your employer, or the applicable entity, to these terms and conditions; (ii) you have read and understand this Agreement; and (iii) you agree, on behalf of the party that you represent, to this Agreement. If you don’t have the legal authority to bind your employer or the applicable entity, please do not click the “I Agree” button below. This Agreement governs Customer’s access to and use of the Services.

The following Terms and Conditions apply once you have clicked the "I Agree" button below and subsequently purchased the System, unless specifically contradicted by provisions of a separate Services Agreement.

License from Got WWW
Got WWW grants you a personal, worldwide, non-assignable and non-exclusive license to use the software provided to you by Got WWW as part of the Services (referred to as the “System” below) on your public website(s).  This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services in the manner permitted by the terms.  Current features and options contained within the System are detailed at the following URL - http://storelocatorsoftware.com/features/ - and are subject to change due to availability.

Copyright
The System is owned by Got WWW  and is protected by United States copyright laws and by international treaty provisions. You should therefore treat the System like any other copyrighted material (such as for example, books or musical recordings). Among other things, copyright laws prohibit you from making derivative works of the System.

Restrictions on Use
Unless you have received prior written authorization from Got WWW (or, as applicable, from the provider of particular Content), you must not:

(a) access or use the Service or any Content through any technology or means other than those provided in the Products, or through other explicitly authorized means Got WWW may designate (such as through Got WWW  APIs);

(b) copy, translate, modify, or make derivative works of the Content or any part thereof;

(c) redistribute, sublicense, rent, publish, sell, assign, lease, market, transfer, or otherwise make the Products or Content available to third parties;

(d) reverse engineer, decompile or otherwise attempt to extract the source code of the Service or any part thereof, unless this is expressly permitted or required by applicable law;

(e) use the Service in a manner that gives you or any other person access to mass downloads or bulk feeds of any Content, including but not limited to numerical latitude or longitude coordinates, imagery, and visible map data;

(f) delete, obscure, or in any manner alter any warning, notice (including but not limited to any copyright or other proprietary rights notice), or link that appears in the Products or the Content; or

(g) use the Service or Content with any products, systems, or applications for or in connection with (i) real time navigation or route guidance, including but not limited to turn-by-turn route guidance that is synchronized to the position of a user's sensor-enabled device; or (ii) any systems or functions for automatic or autonomous control of vehicle behavior.

You may not claim that the System is yours, and you may not use the name Got WWW  to endorse or promote products derived from the System without prior written permission.  Please contact us here if you would like to negotiate a purchase.

System updates
The System which you use may be updated from time to time by Got WWW. These updates are designed to improve, enhance and further develop the System and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit System to deliver these to you) as part of your use of the System.

Disclaimer of Warranties and Limitation of Liability
Got WWW and its licensors make no representations or warranties regarding the accuracy or completeness of any content or the products.

Got WWW and its licensors disclaim all warranties in connection with the content and the products, and will not be liable for any damage or loss resulting from your use of the content or the products.

Because some states of the United States and some countries do not allow the exclusion or limitation of the liability for consequential or incidental damages, the above disclaimer may not apply to you. If this is the case, please click "Disagree" below.

Third Party Sites
Got WWW is not responsible for the contents of any website maintained by any third party. Use of the service to access the website of a third party does not imply endorsement of the site by Got WWW.

Your Warranty to Got WWW
You warrant that all individuals having access to the System will observe and perform all the terms and conditions of this License Agreement.

Terms of Service
When you purchase the System, Got WWW servers will automatically log certain non-personal information from your computer, information such as your IP address. If you decide you wish to purchase the System, we require that you provide us with certain billing information that is personal to you ("Personal Information"). That Personal information includes your name, address and credit card number and may also include other information such as your e-mail address. After we have received payment from your credit card company, we will securely store your payment information, in accordance with PCI requirements, in order to process future authorized recurring fees.

To the extent Got WWW may access Personal Information, Got WWW will not transmit Personal Information voluntarily to any third party without your express consent. Your Personal Information remains in your full control.

Payments
All payments due are in U.S. dollars.

Credit Card Orders. Fees for Credit Card orders are due immediately upon order placement. Got WWW will bill the credit card provided via the Order Page for all applicable Fees when due. If credit card authorizations or charge attempts are declined, Got WWW may immediately disable or cancel the Services, in its sole discretion.

Invoice Orders.
All invoices are sent electronically. Fees for orders where Got WWW issues an invoice are due upon Customer’s receipt of the invoice, and are considered delinquent thirty days after the date of the applicable invoice.

Refunds
If you are not 100% fully satisfied that our product works as advertised we will refund your purchase price in full.  You agree and understand that refunds are based on software failure, not a lack of features. Refunds are provided only after our support team has assisted you and the software fails to function as intended. We will determine if a refund is necessary based on individual situations. Refunds are not available after 30 days from purchase date.

Delinquent Payments.
If we have not received your Total Current Account Balance payment by the payment due date shown above, we may impose a late payment fee based on your current balance at the time of your delinquent minimum payment was calculated, as indicated below;

Current Balance: $25 - $99.99, Late Payment Fee: $15
Current Balance: $100 - $999.00, Late Payment Fee: $29
Current Balance: $1000 or above, Late Payment Fee: $50

A Returned Check fee of $25 will be charged if any check of other instrument sent to us, and any electronic payment authorization you provide us in payment of your account, is not honored upon the first presentment, even if the check, instrument or electronic authorization is later honored.

If payment is not received by the due date, Got WWW may immediately disable or cancel the Services, in its sole discretion. Accounts that have been disabled or cancelled will incure a reinstatement fee before being turned back on.

System Service Level Agreement (SLA)
Got WWW believes that your store locator software should always be protected against unscheduled outages. Our commitment to you is that every effort will be made to keep your sites online.

Got WWW will credit your next invoice with the equivalent of 1 day's service for each 60 minutes of unscheduled downtime (up to 100% of your Recurring Fee).  It doesn't matter why—any time your store locator software is offline or not functioning as a result of a failure in our systems, data center, or network is considered downtime, and we begin counting from the minute you open an incident report with our support team.

Please note that the SLA does not cover data errors on your part, and like all hosts, we may schedule occasional maintenance windows that will affect the availability of some services. We'll post notification of scheduled maintenance before it happens, and since we operate clusters of servers in the cloud, maintenance that causes downtime is very rare.

Taxes. Customer is responsible for any Taxes, and Customer will pay Got WWW for the Services without any reduction for Taxes. If Got WWW is obligated to collect or pay Taxes, the Taxes will be invoiced to Customer, unless Customer provides Got WWW with a valid tax exemption certificate authorized by the appropriate taxing authority.

Technical Support Services (TSS)
By Customer. Customer will, at its own expense, respond to questions and complaints from End Users or third parties relating to Customer’s or End Users’ use of the Services. Customer will use reasonable efforts to resolve support issues before escalating them to Got WWW?

By Got WWW. If Customer cannot resolve a support issue consistent with the above, then Customer may escalate the issue to Got WWW. Got WWW’s technical support services are available by email or phone to a single, registered primary contact person, for the account. Support services are limited to initial set-up of the system as described above, correcting problems with the advertised functions of the software and initial training in it's use at no additional charge. Technical support services are also available for consulting, custom implementation, custom features and functions, integration with other systems, etc., at an additional cost.

Personal Information
Got WWW may, on occasion, use your IP address to help diagnose problems with our server and to administer its website. Got WWW may provide aggregate statistics about our customers, traffic patterns, and related site information to reputable third-party vendors. In this process, the information that Got WWW collects remains anonymous to third parties. Got WWW may derive general information from your Personal Information and web usage. Got WWW will not voluntarily disclose, sell or trade your Personal Information to any third party without your consent.

Indemnification
Customer will indemnify, defend, and hold harmless Got WWW from and against all liabilities, damages, and costs (including settlement costs and reasonable attorneys’ fees) arising out of a third party claim regarding Customer Data, Customer Brands, infringement or misappropriation of any patent, copyright, trade secret or trademark of a third party.

Export Control Laws
You agree to comply with all laws, rules and regulations applicable to the export of the System. Specifically, you shall not export, re-export or transship the System, or the direct product thereof, in violation of any United States laws and regulations which may from time to time be applicable. None of the System or underlying information or technology may be exported or re-exported into, or to a national or resident of any country to which the U.S. has embargoed goods.

Injunctive Relief
Because of the unique nature of the System, you understand and agree that Got WWW will suffer irreparable injury in the event you fail to comply with any of the terms of the above paragraph of this License Agreement and that monetary damages may be inadequate to compensate Got WWW for such breach.  Accordingly, you agree that Got WWW will, in addition to any other remedies available to it at law or in equity, be entitled to injunctive relief, without posting a bond, to enforce the terms of this Agreement.

Termination
You may terminate this Agreement at any time. Got WWW may terminate this License Agreement if you breach any representation, warranty, agreement or obligation contained or referred to in this License Agreement. All provisions of this License Agreement shall survive termination of this Agreement.

Miscellaneous
This Agreement shall be governed by the laws of the State of Michigan. Venue for any action under this Agreement shall be in Lapeer County, Michigan. You consent to the personal jurisdiction of the courts of such venue.  This License Agreement is the complete agreement between Got WWW and you and supersedes all prior agreements, oral or written, with respect to the subject matter hereof.

The System was developed at private expense, and no part of it was developed with governmental funds; is a trade secret of Got WWW for all purposes of the Freedom of Information Act; is "restricted computer System" subject to limited utilization as provided in the contract between the vendor and the governmental entity; and in all respects is proprietary data belonging solely to Got WWW.

TRADEMARKS. "Got WWW" and "Got WWW?" are either trademarks or registered trademarks of GOT WWW, LLC.
